Transactions & Finance

HDBA HAS A CLEAR MISSION.  Produce the optimum business and financial arrangement for the Client while satisfying the requirements of all major stakeholders.  Optimally structuring and negotiating complex deals – with terms addressing price, return thresholds, land banking, phasing & take-downs, performance criteria & penalties, and down-market provisions – is the secret to transactions that last.  Business and financial terms must reflect the unique characteristics of every asset, special risk factors, as well as owner, investor and sponsor requirements.

NO TWO DEAL STRUCTURES ARE ALIKE.  HDBA has structured, negotiated and closed a wide variety of deals, including several first-of-kind privatizations, each exceeding $1 billion.  One required Mr. DeBlanc’s coordination and negotiation of, what was at that time, the largest ever issuance of Port Authority of New York and New Jersey Special Project Bonds.

HDBA BUILDS A BETTER MODEL.   An enduring deal structure with favorable terms is the result of real time financial modeling that immediately illustrates project and investment returns derived from any input, enables key sensitivity analysis, and provides important metric values and insight to all parties during negotiations.  These models have proved to be strategic and indispensable, ensuring all potential outcomes have been evaluated and are clearly understood. Structuring transactions with this insight creates extra profit, value and downside risk protection for owners.

CAPITAL AND OWNERSHIP STRUCTURE CAN MAKE OR BREAK A DEAL.  HDBA has a command of the intricacies of sourcing and negotiating the terms of joint ventures & equity investment, debt, hybrid capital, and public financing for one-time private transactions to multi-phase 3P projects with 25+ year development schedules. This understanding of the capital stack is critical as it ensures project feasibility, achievable business arrangements, balanced negotiations, and ultimately, a closed deal that can also capture unanticipated opportunities and survive unforeseen challenges.
